Gregg M. Sherrill, a member of the board of directors of the Registrant since 2017 and the board's Lead Director since 2021, will retire from the board of directors effective November 21, 2025. Richard T. Hume, a member of the board of directors of the Registrant since 2020, will serve as the board's Lead Director effective November 21, 2025. Mr. Sherrill's retirement from the board did not involve any disagreement with the Registrant.
