Norton Rose Fulbright advises ENEOS on US$2.2 billion acquisition of regional refining and downstream assets

An Asia Pacific team from Norton Rose Fulbright has advised ENEOS on its acquisition of Chevron's downstream fuels and lubricants businesses across Singapore, Malaysia, the Philippines, Australia, Indonesia and Vietnam including a 50 per cent interest in Singapore Refining Company.

The approximately US$2.2 billion transaction represents a significant milestone for ENEOS, Japan's largest integrated energy company, marking its first overseas refinery investment and a major expansion of its international downstream footprint. It has been publicly welcomed at the highest levels in Japan, with Prime Minister Sanae Takaichi noting on X (formerly Twitter) ENEOS' stated contribution to medium-to long-term stable energy supply in the Asia-Pacific region and to strengthening Asia's energy supply structure.

The acquisition positions ENEOS as a key participant in Southeast Asia's refining and fuel distribution market, providing it with strategic access to established infrastructure and growing energy demand centres across the region.

Norton Rose Fulbright advised ENEOS on all aspects of the acquisition, including multijurisdictional legal support across Asia-Pacific.
