Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 9, 2026, the Board of Directors of PetVivo Holdings, Inc. recognized the resignation of Michael Eldred as a member of the Company's Board of Directors, effective as of that date.

The resignation was not the result of any disagreement with the Company on any matter relating to the Company's operations, policies, or practices.

In connection with this resignation, the Board of Directors determined to reduce the size of the Board from eight (8) directors to seven (7) directors, and the resulting vacancy created by the resignation will not be filled at this time.

The Board of Directors thanks Mr. Eldred for his service and contributions to the Company.
