Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On October 16, 2025, the Board of Directors (the "Board") of Booking Holdings Inc. (the "Company") approved the amendment and restatement of the Company's By-Laws (the "Amended and Restated By-Laws"), effective immediately. The changes reflected in the Amended and Restated By-Laws include amending the threshold to call a special meeting of the Board to require a majority of the Board, revisions to the advance notice provision, and making certain other non-substantive changes.
