Lowenstein Represents Tolerance Bio in $260M Licensing Agreement of NeoImmunetech’s IL-7 Fusion Protein

Lowenstein Sandler LLP represented Tolerance Bio, a biotechnology company focused on preserving, regenerating, and modulating thymic function to address immune diseases and extend healthspan, in its exclusive license agreement with NeoImmuneTech for the development and commercialization of NT-17 (efineptakin alfa), a clinical-stage long-acting IL-7 fusion protein. The license agreement includes potential development and sales milestone payments of up to $260 million, as well as equity consideration and tiered royalties on net sales.

Tolerance intends to build the leading therapeutic platform that targets thymic biology and immune resilience, using NT-17 to expand the company's development across therapeutic modalities focused on thymus biology, including biologic drugs, thymus-targeting mRNA, and thymus cell therapies. Tolerance also plans to advance NT-17 in new indications to preserve thymic T cell output and enhance immune resilience in immunologically vulnerable populations.
