Dentons advises on landmark sale of NMC Healthcare and EMC's Oman businesses to Tawoos Group

Muscat-Dentons has advised NMC Healthcare Group, a leading integrated private healthcare provider headquartered in the UAE, and Elegant Medical Center Oman (EMC) on the successful completion of the sale of their Omani businesses to Tawoos Group.

The divestment aligns with the Tawoos Group's strategic vision of enhancing healthcare services in the Sultanate, while allowing NMC Healthcare Group to focus on its core UAE operations where it currently manages more than 180 entities, employs approximately 11,000 staff and provides healthcare services to more than five million patients annually. This strategic divestment represents a significant milestone in NMC's ongoing business optimisation. This complex, multiple asset transaction comprises two hospitals and six clinics/aesthetics centres which will be well known to the public across Oman.

The transaction has been led by a multidisciplinary team at Dentons spanning banking and finance, restructuring, litigation and corporate law practice areas. The complex nature of the transaction required extensive stakeholder engagement across multiple jurisdictions.
