Explanatory Note

This Amendment No. 1 to Form 8-A amends and restates in its entirety the Registration Statement on Form 8-A filed by Valued Advisers Trust on August 10, 2026 (the "Original 8-A"). The Original 8-A is being amended solely to update the name of the exchange on which each class is to be registered to be The Nasdaq Stock Market LLC.
