Dentons advises INTRESO Group on sale of Fumico Holding B.V. and DDD, d.o.o. Koper

September 19, 2025

Prague-Global law firm Dentons has provided legal advice to INTRESO Group BV (INTRESO Group) and Descroes BV in connection with the sale of their subsidiaries, Fumico Holding B.V. (Fumico) in the Netherlands and DDD, d.o.o. Koper (DDD) in Slovenia, to Detia Degesch Group.

The transaction represents a significant milestone for INTRESO Group as it refocuses its strategy on wholesale operations and the provision of sustainable fumigant solutions. With the acquisition, Detia Degesch Group will expand its service portfolio in the Netherlands and Slovenia, strengthening its position in the international fumigation market.

Dentons supported INTRESO Group throughout the transaction, providing comprehensive legal advice on corporate, regulatory, and cross-border aspects of the deal.

Since 2010, Fumico has been a trusted specialist in pest control services, offering advanced solutions including gas applications, CO₂ low-pressure procedures, heat treatments, and Quarantine Pest Services (QPS). Founded more than 50 years ago, DDD is based in the growing port location of Koper and is one of the leading providers in the post-harvest sector, as well as a distribution partner of the Detia Degesch Group.

A cross-border Dentons team led by partner David Šimek, with support from relationship partner Petr Zákoucký, partner Ondřej Bartoň, and counsel Tomáš Pavelka (all Prague), worked alongside associates Kryštof Vrtek, Miroslav Sýkora, Kateřina Kučerová, Arne Delong, and Robert Květoň. The broader international team also included Rob Irving, Partner (Budapest). In Amsterdam, the team comprised Alexander Odle (Partner), Nick de Rooij (Counsel), Rogier van der Weijden (Senior Associate), Tom Brohm and Kevin Boekhout (Associates). In Brussels, partners Laurens Engelen and Nora Wouters advised. Dentons also worked in close cooperation with CERHA HEMPEL Ulcar & partnerji, who provided local expertise in Slovenia.

"This transaction reflects Dentons' ability to seamlessly coordinate across jurisdictions to deliver exceptional results for our clients," said Petr Zákoucký, Partner at Dentons. "It showcases not only our strength in complex cross-border M&A, but also the strength that comes from bringing together full-fledged teams across multiple areas of law," added David Šimek, Partner at Dentons.
