On May 12, 2026, Sterling Infrastructure, Inc. (the "Company") filed a new shelf registration statement (the "Shelf Registration Statement") on Form S-3 with the U.S. Securities and Exchange Commission, to replace the Company's expired shelf registration statement. Although the Company has no current intention to offer or sell securities using the Shelf Registration Statement, it provides the Company with additional financial flexibility and the ability to access capital markets opportunistically over the next three years.
