Notice of Application to Acquire a Controlling Interest

The REGULATORY COMMISSION OF ALASKA (Commission) gives notice that on October 3, 2025, GCI Liberty, Inc. (GCI Liberty) and Dr. John C. Malone (Dr. Malone), filed an application for Dr. Malone to acquire an indirect controlling interest in United Utilities, Inc. (UUI), United-KUC, Inc. (United-KUC), and Yukon Telephone Co., Inc. (YTC) (collectively, UUI LECs). UUI holds Certificate of Public Convenience and Necessity (Certificate) No. 249 (local exchange service) and No. 558 (private pay telephone service); United-KUC holds Certificate No. 629 (local exchange service); and YTC holds Certificate No. 213 (local exchange service). Docket No. U-25-040 was opened to address this matter.

Dr. Malone currently holds approximately 53.50% of the aggregate voting power of GCI Liberty, the ultimate indirect parent of the UUI LECs, but certain trusts and entities related to Dr. Malone entered into an agreement that restricts Dr. Malone's aggregate voting power in GCI Liberty to approximately 49%. GCI Liberty and Dr. Malone seek approval for Dr. Malone to increase his voting power to above 50% of the aggregate voting power of GCI Liberty, a level that would constitute control of GCI Liberty and its certificated subsidiary UUI LECs.

In conjunction with the application, GCI Liberty and Dr. Malone have filed a petition for confidential treatment of UUI LEC's statement of financial condition filed with the application and a motion for waiver of the requirement to file a statement of financial condition of Dr. Malone. Interested persons may file a response to the petition for confidential treatment or the motion for waiver with the Commission by 5:00 p.m. October 28, 2025.

The Commission has not assessed the completeness of the application or ruled on the petition for confidential treatment and motion for waiver. The Commission will rule on the petition for confidential treatment and motion for waiver, and determine whether the application is complete after the close of the comment period.
