Material Event (Form 8-K)

Reference is hereby made to the pooling and servicing agreement (the "BMO 2024-5C5 PSA") dated as of August 1, 2024, relating to the BMO 2024-5C5 Mortgage Trust (the "Issuing Entity"). The BMO 2024-5C5 PSA was filed as Exhibit 4.1 to the Current Report on Form 8-K/A with respect to the Issuing Entity, filed on August 15, 2024 under Commission File Number 333-255934-14. Capitalized terms used but not defined herein shall have the meanings assigned to them in the BMO 2024-5C5 PSA. 

The Mortgage Loan secured by the Mortgaged Property identified on the Mortgage Loan Schedule as iPark Norwalk, an asset of the Issuing Entity, is being serviced pursuant to the pooling and servicing agreement (the "BANK5 2024-5YR8 PSA"), dated as of August 1, 2024, between Banc of America Merrill Lynch Commercial Mortgage Inc., as depositor, Trimont LLC (as successor to Wells Fargo Bank, National Association), as master servicer, Greystone Servicing Company LLC, as special servicer, Pentalpha Surveillance LLC, as operating advisor and as asset representations reviewer, and Computershare Trust Company, National Association, as certificate administrator and as trustee, which governs the issuance of the BANK5 2024-5YR8, Commercial Mortgage Pass-Through Certificates.  The BANK5 2024-5YR8 PSA was filed as Exhibit 4.2 to the Current Report on Form 8-K with respect to the Issuing Entity, filed on August 2, 2024 under Commission File Number 333-255934-14.

Effective as of July 2, 2026, the directing certificateholder under the BANK5 2024-5YR8 PSA has terminated Greystone Servicing Company LLC as special servicer under the BANK5 2024-5YR8 PSA, and has appointed Torchlight Loan Services, LLC to act as successor special servicer under the BANK5 2024-5YR8 PSA. A copy of the related Acknowledgement of Replacement Special Servicer dated July 2, 2026 is attached hereto as Exhibit 20.1.
