Norton Rose Fulbright advised SPACSphere Acquisition Corp., a special purpose acquisition company, on its proposed business combination with consumer intelligence and agentic artificial intelligence (AI) company Mobilewalla Holdco, Inc., including the filing of a registration statement on Form S-4 with the US Securities and Exchange Commission.
The transaction, which is expected to close in the second half of 2026, represents a key step in Mobilewalla's planned transition to the public markets. Upon completion of the merger, the combined company is expected to operate under the name Covariate, Inc. and list its shares on Nasdaq or another US national securities exchange.
Mobilewalla's predictive intelligence products and vertical agentic AI solutions are powered by a proprietary consumer data platform with global reach. Its clients span the telecommunications, financial services and consumer data sectors.
