Are There
Charges for Early
Withdrawals?

Yes. If You withdraw money during the first 5 years following a Purchase
Payment, You may be assessed a withdrawal charge of 5%, as a percentage
of the Purchase Payment withdrawn.
For example, if You make an early withdrawal, You could pay a withdrawal
charge of up to $5,000 on a $100,000 investment. This loss will be greater
if there are taxes or tax penalties.

No. This Contract is not a short-term investment and is not appropriate for
an investor who needs ready access to cash.
Amounts withdrawn from the Contract may result in withdrawal charges,
taxes, and tax penalties. Withdrawal charges may apply for the first 5 years
following a Purchase Payment. Withdrawal charges will reduce the value of
Your Contract if You withdraw money during that time period. Withdrawals
could significantly reduce the value of your Contract, the death benefit, the
amount available for loans, and other Contract benefits. The reduction may
be more than the amount withdrawn.
The benefits of tax deferral also mean the Contract is more beneficial to
investors with a long time horizon.

obligations (including under the Fixed Account) and guarantees and

Are There
Restrictions on
the Investment
Options?
|
●Yes.
●Currently, We allow unlimited transfers without charge among investment
options during the Accumulation Period. However, We reserve the right
to impose a charge for transfers in excess of 12 per year.
●We reserve the right to limit the number of transfers in circumstances of
frequent or large transfers. At a minimum, We would always allow one
transfer every six months.
●Transfers to and from the Fixed Account are subject to special limitations,
such as Our right to limit transfers from the Fixed Account to an amount
of up to 10% of the Fixed Account Contract Value on the semiannual
Contract Date anniversary.
●Where permitted by state law, We reserve the right (with 30 days advance
written notice) to restrict Purchase Payments or transfers into the Fixed
Account when the credited interest rate is equal to the minimum
guaranteed interest rate specified in Your Contract.
●We reserve the right to remove or substitute the Underlying Funds that
are available as investment options under the Contract.
●If You participate through a retirement Plan, your Plan may limit your
Funding Options.

Exchange My
Contract?

If You already own an insurance contract, some investment professionals
may have a financial incentive to offer You a new contract in place of the
one You own. You should only exchange a contract you already own if You
determine, after comparing the features, fees, and risks of both contracts,
and any fees or penalties to terminate the existing contract, that it is better
for You to purchase the new contract rather than continue to own Your
existing contract.
