Item 1.02. Termination of a Material Definitive Agreement

As previously disclosed in Item 1.01, on June 8, 2026, the Company paid Holder the Agreement Consideration, at which time the Purchase Agreement was terminated pursuant to the terms of the Agreement. No early termination penalties were incurred by the Company in connection with the termination of the Purchase Agreement.
