Baker McKenzie has advised Nartic B.V. and 3P-Invest B.V. on the sale of Fromatech Ingredients B.V. to the MANE Group. Closing took place on May 6, 2026.
Fromatech is a leading provider of savory flavor solutions and functional ingredients, with a strong presence in high-growth markets, particularly the Middle East and North Africa.
The transaction represents a strategic and complementary acquisition for MANE, strengthening its geographic reach, innovation capabilities, and ability to deliver tailored solutions to clients worldwide.
The transaction involved multiple jurisdictions and workstreams, and required Corporate M&A, Notarial, Tax, and Regulatory advice. Baker McKenzie acted as sell-side counsel, managing the cross-border process, including a Dutch legal demerger and related tax matters. In addition, the transaction involved a Russian subsidiary which required an assessment of local regulatory approvals and tailored structuring to address timing considerations and regulatory uncertainty.
