Goldman Sachs Announces Redemption of All Outstanding Depositary Shares Representing Interests in Its 5.30% Fixed-to-Floating Rate Non-Cumulative Preferred Stock, Series O and[...]

NEW YORK, NY, October 8, 2026 - The Goldman Sachs Group, Inc. (NYSE: GS) (the "Company") today announced that on November 10, 2026 (the "Redemption Date") it will redeem all outstanding shares of its 5.30% Fixed-to-Floating Rate Non-Cumulative Preferred Stock, Series O ("Series O Preferred Stock") and the corresponding 650,000 depositary shares ("Series O Depositary Shares") each representing a 1/25th interest in a share of Series O Preferred Stock and all outstanding shares of its 4.125% Fixed-Rate Reset Non-Cumulative Preferred Stock, Series V ("Series V Preferred Stock") and the corresponding 750,000 depositary shares ("Series V Depositary Shares") each representing a 1/25th interest in a share of Series V Preferred Stock.

The Series O Depositary Shares will be redeemed for a redemption price equal to $1,000 per depositary share (equivalent to $25,000 per share of Series O Preferred Stock) plus an amount equal to any accrued and unpaid dividends for the then-current dividend period to but excluding the Redemption Date attributable to 1/25th of a share of Series O Preferred Stock (together, the "Series O Redemption Payment"). The Series V Depositary Shares will be redeemed for a redemption price equal to $1,000 per depositary share (equivalent to $25,000 per share of Series V Preferred Stock) plus an amount equal to any declared and unpaid dividends for the then-current dividend period to but excluding the Redemption Date attributable to 1/25th of a share of Series V Preferred Stock (together, the "Series V Redemption Payment" and, together with the Series O Redemption Payment, each a "Redemption Payment"). Any dividends declared by the Company's board of directors (or a committee thereof) on the Series O Preferred Stock or the Series V Preferred Stock, as applicable, that are payable on a dividend payment date falling on the Redemption Date will be paid to the holder of record on the applicable dividend record date relating to such dividend payment date, and as a result, the Series O Redemption Payment will not include any accrued and unpaid dividends and the Series V Redemption Payment will not include any declared and unpaid dividends. From and after the Redemption Date, all dividends will cease to accrue on the Series O Preferred Stock and Series V Preferred Stock.

Simultaneously with the redemption of the Series O Preferred Stock and Series V Preferred Stock, the outstanding Series O Depositary Shares and Series V Depositary Shares will be redeemed on the Redemption Date in accordance with the applicable procedures of The Depository Trust Company ("DTC"), for an amount per depositary share equal to the applicable Redemption Payment. All Series O Depositary Shares and Series V Depositary Shares are held in book-entry form through DTC and will be redeemed in accordance with the procedures of DTC.
