EXPLANATORY NOTE

Post-Effective Amendment No. 123 under the Securities Act of 1933, as amended (the "1933 Act"), and Amendment No. 132 under the Investment Company Act of 1940, as amended (the "1940 Act"), to the Registration Statement of TCW Funds, Inc. (the "Registrant") on Form N-1A was filed pursuant to Rule 485(a)(1) on March 2, 2026 to include a prospectus and statement of additional information relating to ETF Class shares of each of TCW Concentrated Large Cap Growth Fund and TCW Relative Value Large Cap Fund (the "Funds"), each a series of the Registrant (the "Amendment"), and pursuant to that paragraph would become effective May 1, 2026.

This Post-Effective Amendment No. 124 under the 1933 Act and Amendment No. 133 under the 1940 Act is filed pursuant to Rule 485(b)(1)(iii) under the 1933 Act for the sole purpose of designating May 30, 2026 as the new date upon which the Amendment shall become effective.

This Post-Effective Amendment No. 124 incorporates by reference the Registrant's Prospectus (Part A), Statement of Additional Information (Part B) and Part C relating to the Funds contained in the Amendment.
