EXPLANATORY NOTE

Designation of New Effective Date for Previously Filed Amendment

Post-Effective Amendment No. 434 ("PEA 434") to the Trust's Registration Statement on Form N-1A under the Securities Act of 1933, as amended (the "1933 Act") and Amendment No. 437 under the Investment Company Act of 1940, as amended (the "1940 Act"), was filed by the Registrant pursuant to Rule 485(a)(2) on August 25, 2026 via EDGAR (Accession No. 0001580642-26-005636) with respect to the CWP Premium Growth ETF and CWP Premium Dividend ETF and was scheduled to become automatically effective on November 8, 2026.

This Post-Effective Amendment No. 436 under the 1933 Act and Amendment No. 439 under the 1940 Act is being filed pursuant to Rule 485(b)(1)(iii) for the purpose of designating November 10, 2026 as the new effective date of PEA 434. This Post-Effective Amendment No. 436 incorporates by reference the information contained in Parts A, B and C of PEA 434.
