Other Events |
On January 23, 2026, at 12:00 a.m., New York City time, the "go-shop" period expired under the terms of the previously announced Agreement and Plan of Merger, dated as of December 20, 2025 (the "Merger Agreement"), by and among GT Silver BidCo, Inc., a Delaware corporation ("Parent"), GT Silver Merger Sub, Inc., a Delaware corporation and wholly owned subsidiary of Parent, and Clearwater Analytics Holdings, Inc., a Delaware corporation (the "Company").
Pursuant to the Merger Agreement, at the direction of the special committee (the "Special Committee") of the board of directors of the Company, representatives of PJT Partners LP, the independent financial advisor of the Special Committee, and J.P. Morgan Securities LLC, the financial advisor of the Company, actively solicited alternative acquisition proposals from 44 parties, consisting of 20 financial sponsors and 24 strategic parties. Six of these parties entered into confidentiality agreements and received access to a virtual data room containing non-public information about the Company. As of the expiration of the "go-shop" period, the Company did not receive an alternative acquisition proposal from any third party.
Upon the expiration of the "go-shop" period, the Company became subject to customary "no-shop" restrictions on its ability to solicit alternative acquisition proposals from third parties and to provide non-public information to and engage in discussions or negotiations with third parties regarding alternative acquisition proposals, subject to certain exceptions as set forth in the Merger Agreement.
