Explanatory Note

On September 16, 2026, SurgePays, Inc. (the "Company") filed a Current Report on Form 8-K (the "Current Report") regarding changes in the Company's independent registered public accounting firm. This amendment to the Current Report, which hereby incorporates by reference the disclosures in the Current Report in their entirety, is being filed solely to file as an exhibit the letter received by the Company from the former accounting firm on September 29, 2026.
