Global law firm Norton Rose Fulbright has advised Gore Street Capital, acting through its GS EU Fund SCSp, on the acquisition of a 40 MW / 160 MWh battery energy storage system (BESS) project in Poland.
The transaction marks Gore Street's first investment in the Polish market and represents a strategic entry into one of Europe's fastest-growing battery storage sectors. The project has secured a 17-year Capacity Market contract commencing in 2030 and is expected to begin operations in the first quarter of 2028.
The acquisition forms part of Gore Street's broader European energy storage investment strategy and further strengthens its position as a leading investor in assets supporting the energy transition, grid stability and renewable energy integration across Europe.
The closing of the transaction is subject to customary conditions precedent.
Norton Rose Fulbright advised Gore Street on all legal aspects of the transaction, including the legal due diligence of two development-stage BESS project, the negotiation of the preliminary share purchase agreement (PSPA), development services agreement (DSA) and the W&I insurance, as well as transactional structuring and regulatory matters.
The transaction required extensive analysis of the evolving Polish battery storage market, including project development, permitting and market practice considerations, and involved the negotiation of a comprehensive contractual framework addressing development milestones, completion mechanics and project delivery arrangements.
The Norton Rose Fulbright team was led by counsels Krzysztof Jasiński and Cezary Zawiślak, and senior associate Sara Radzicka-Tolwaj, supported by associates Martyna Orłowska, Bartosz Odziemkowski, Nina Wołczyńska and Mikołaj Wołczyński. The team worked under the supervision of Tomasz Rogalski, partner and head of the energy and project finance practice in Poland.
Krzysztof Jasiński, Cezary Zawiślak and Sara Radzicka-Tolwaj commented:
"We are delighted to have advised Gore Street on its first investment in Poland. Battery energy storage will play an increasingly important role in supporting the energy transition, strengthening energy security and improving Polish grid flexibility. The transaction demonstrates the growing maturity of the Polish energy storage market and the continued interest of international investors in opportunities across the country's energy infrastructure sector. We would like to thank the Gore Street team for their trust and excellent collaboration throughout the process."
