Namirial signs agreement to acquire ZeroComa, expanding its e-invoicing and e-notification offering in Spain

Milano / Senigallia / Madrid - 21st October 2026 - Namirial, the leading European provider of digital trust and digital transaction management solutions, today announced that it has signed an agreement to acquire ZeroComa S.L. ("ZeroComa"), a Madrid-based provider of e-invoicing, e-notification and e-reporting solutions for Spanish companies.

Namirial's shareholders include leading private equity investors Bain Capital and PSG Equity, Ambienta SGR, the Group's founder Enrico Giacomelli, and members of its management team, combining institutional investment, entrepreneurial vision and industry expertise.

ZeroComa's platforms - including EdasNEO for electronic notifications from public administrations, InvoiZE for automated e-invoicing and the electronic reporting of invoice records to the Spanish Tax Agency (SII, TicketBAI, VeriFactu, etc.) - serve more than 650 customers, including 20% of IBEX 35 companies.

The transaction marks Namirial's expansion of its Spanish footprint and strengthens the Group's digital transaction management offering ahead of the introduction of mandatory e-invoicing in Spain.

Alvaro and Alejandro Allende will also join the shareholding group of Namirial. The current management team will remain in place and will play a central role in the development of Namirial's e-invoicing business in Spain. The closing of the transaction is subject to customary conditions.
