Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
The York Water Company (the "Company") has appointed Jennifer E. Doran, age 49, to the officer position of Vice President of Human Resources effective October 27, 2026. Prior to joining the Company, Ms. Doran was the Vice President of People and Culture for The Anstadt Company from 2016 to the present. Prior to that, Ms. Doran held various positions of increasing responsibility for The Anstadt Company from 1999 to 2016.
As an officer of the Company, Ms. Doran will be eligible for a supplemental retirement agreement and a change in control agreement with benefits, terms and conditions similar to those of the other Named Executive Officers (with the exception of the President and CEO) which are described in the Company's proxy statement filed on March 20, 2026 in the "Compensation of Directors and Executive Officers" section. The Company intends to file a copy of Ms. Doran's agreements as exhibits to the Company's next regularly scheduled quarterly report on Form 10-K or Form 10-Q to be filed with the U.S. Securities and Exchange Commission after approval by the Compensation Committee of the Board of Directors.
There are no arrangements or understandings between Ms. Doran and any other person pursuant to which Ms. Doran was selected as an officer, and there are and have been no transactions since the beginning of the Company's last fiscal year, or currently proposed, regarding Ms. Doran that is required to be disclosed by Item 404(a) of Regulation S-K.
