EXPLANATORY NOTE
Nextdoor Holdings, Inc. (the "Registrant") is filing this Registration Statement on Form 8-A in connection with the transfer of the listing of its Class A common stock, par value $0.0001 per share (the "Class A Common Stock"), from the New York Stock Exchange (the "NYSE") to The Nasdaq Stock Market LLC ("Nasdaq"). The Registrant expects the listing and trading of its Class A Common Stock on the NYSE to cease at the close of trading on October 13, 2026, and that trading will begin on Nasdaq at market open on October 14, 2026.

The description of the Registrant's Class A Common Stock included in Exhibit 4.2 to the Registrant's Annual Report on Form 10-K for the fiscal year ended December 31, 2023 (File No. 001-40246), filed with the Securities and Exchange Commission on February 27, 2024, is incorporated herein by reference, except that any reference to the NYSE is hereby amended to refer to Nasdaq.
