The following communication was sent by John W. Ketchum, President and Chief Executive Officer of NextEra Energy, Inc. to employees of NextEra Energy, Inc. on May 18, 2026.

Team,

I have exciting news to share with you today: NextEra Energy and Dominion Energy have announced plans to combine, and I want to take a moment to tell you what this means for our company, for our customers and for you.

About Dominion Energy

Many of you may already know Dominion Energy. The storied company has been powering homes and businesses across Virginia, North Carolina and South Carolina for more than a century, serving more than 4 million customers across three of the fastest-growing states in America. Dominion Energy is an outstanding company with talented people, a strong culture and a track record of operational excellence that we admire. The company holds a leading position in Virginia, the premier large-load market, and has spent years demonstrating how to serve the most demanding large-load customers in the country while keeping energy affordable for everyone. We have a great deal of respect for what Dominion Energy has built, and we are excited about what we will build together.

Why we're doing this

America's demand for electricity is surging. Large load, manufacturing, transportation and everyday life are requiring more power than ever before and that need is only growing. Meeting this moment requires scale, experience and the ability to build faster and more affordably than any single company can do alone. Combining NextEra Energy and Dominion Energy gives us exactly that.

Together, we would become the world's largest regulated electric utility business by market capitalization and the third-largest energy company in the United States with an enterprise value of roughly $420 billion. More importantly, our combined scale means we can buy, build, finance and operate more efficiently, which translates to savings over time for the nearly 10 million customers that would count on us across Florida, Virginia, North Carolina and South Carolina.

What this means for you

This combination is about growth, and growth means opportunity for all of us.

A-1

We will continue to be called NextEra Energy. I will serve as chairman and CEO of the combined company. Bob Blue, who currently serves as chair, president and CEO of Dominion Energy, will become president and CEO, NextEra Energy Regulated Utilities, overseeing Dominion Energy Virginia, Dominion Energy North Carolina, Dominion Energy South Carolina and FPL. Leadership at each of those utilities will remain the same, ensuring continuity for customers.

The combined company will maintain dual headquarters in Juno Beach, Florida, and Richmond, Virginia, and Dominion Energy South Carolina's existing operational headquarters in Cayce, South Carolina. We will also maintain a significant presence in Houston, Texas, and across the many states where we have operations. We are committed to providing meaningful career opportunities across the combined enterprise at a larger, faster-growing company with more ways to grow than ever before.

Each of you is the reason we have earned Fortune's World's Most Admired Companies distinction 17 times in the last 20 years and why we were just named one of TIME's Most Influential Companies. That recognition belongs to our people, and you would remain at the center of everything we do as a combined company. NextEra Energy and Dominion Energy share a team-focused, values-driven mindset that delivers for customers and is committed to excellence. That does not change.

Organizational news

I also want to share some additional organizational news. I have asked Armando Pimentel to serve as vice chairman of NextEra Energy, where he will help lead our combination effort and support broader strategic priorities as a special advisor to me. Armando's deep knowledge of our company, our operations and our culture makes him the right person for this role.

As part of a succession plan, Scott Bores will become president and CEO of FPL. Scott is an outstanding leader who knows FPL, knows our customers and knows what it takes to deliver at the highest level. I am confident he will continue to build on the strong foundation Armando and the FPL team have established. I want to personally thank Armando for his exceptional leadership of FPL and for his willingness to take on this important new challenge.

What happens next

This transaction is subject to regulatory approvals and shareholder votes from both companies. We expect it to close in 12-18 months. As we move through that process, we'll keep you informed every step of the way.

This is a defining moment for our company, for our industry and for our country. I couldn't be prouder of what we've built together, and I'm incredibly excited about what we'll accomplish from here.

You can read the full announcement here and listen to our investor call that is taking place at Dominion's headquarters in Richmond at 9 a.m. today.

Later today at 10:45 a.m., Armando Pimentel, Brian Bolster and Scott Bores will host a town hall at our Juno Beach headquarters to discuss this announcement and answer your questions. Bob Blue and I will join remotely from Richmond. I encourage you to attend.

Thank you for everything you do. Stay safe and cyber aware.

John
