Today AtaiBeckley, our parent company, announced that it has entered into a definitive agreement to be acquired by Eli Lilly and Company ("Lilly"), a global leader in pharmaceutical innovation. You can view the full announcement

This is a significant milestone for AtaiBeckley, and Nualtis played a critical role in it. Our oral thin-film platform is the technology behind VLS-01, AtaiBeckley's DMT buccal film in development for depression and, alongside their lead program BPL-003, one of the programs at the heart of this transaction. Our work at Nualtis directly supports VLS-01's potential path to patients. This acquisition is a meaningful reflection of that work.
Lilly is making significant and sustained investments in neuroscience and brain health. We believe combining AtaiBeckley's pipeline with Lilly's scale, resources and manufacturing expertise can help bring BPL-003, VLS-01 and the broader pipeline to more patients, faster.

How the transaction works and the timing
The transaction will be completed through a merger that requires the approval of AtaiBeckley stockholders. AtaiBeckley will file a proxy statement with the SEC and hold a special meeting to vote on the transaction. We currently expect to close in the third quarter of 2026, subject to stockholder approval, required regulatory approvals, and other closing conditions. Until closing, AtaiBeckley and Lilly remain separate, independent companies.
