We want to keep you updated on the announced transaction with NEC as it progresses towards closing. Over the past several weeks, the parties have hit several important milestones:

The Definitive Proxy Statement was filed on December 16, 2025: Our shareholders as of the applicable record date (December 10, 2025) have the right to vote on certain matters related to the transaction. The Proxy Statement is an important document containing certain disclosures that are relevant to their voting decision. Note that we have set January 30, 2026, as the date for our shareholder meeting. For those applicable employees who owned CSG stock as of the record date, you will receive copies of the proxy voting materials in due course.

The parties filed certain key regulatory filings on December 4, 2025: As described in the Definitive Proxy Statement, the parties made certain key submissions, which include filing of a notification under the Hart-Scott-Rodino Act and filing of a draft joint voluntary notice to the Committee on Foreign Investment in the United States.
