Dentons advises UniCredit on €500 million financing to Equitix Summit III BidCo

Madrid-Global law firm Dentons has advised UniCredit Bank GmbH on a €500 million financing deal with Equitix Summit III BidCo for a multi-technology renewable energy portfolio in Spain, structured through a Luxembourg HoldCo platform, comprising solar, wind and hybridisation assets operated through several project SPVs.
The transaction involved the provision of senior financing and the implementation of a sophisticated top-down security package designed to address the structural subordination issues typically arising in HoldCo-level financings.
The matter required a coordinated finance and energy law approach, reflecting the complexity of the corporate structure and the cross-border nature of the deal. Madrid-based Banking and Finance partner Luis Belart and Energy partner Fermín Garbayo led Dentons' multidisciplinary legal team, which included associates Manuel Lamela and Cristina Ramírez in Madrid, partner Matthew Sapte in London and partner Olivier Lesage in Luxembourg.
