Dentons HPRP has acted as Indonesian legal counsel to PT Smart Cakrawala Aviation, an Indonesia-based aviation company, in connection with its acquisition of three Pacific Aerospace P-750XL aircraft, with an aggregate transaction value of approximately USD 3.3 million. The acquisition forms part of the client's fleet expansion strategy to support its commercial aviation operations in Indonesia.
The transaction involved a cross-border aircraft sale governed by the laws of the Republic of Indonesia and required close coordination with the overseas seller based in Hubei, People's Republic of China, particularly in relation to the aircraft purchase documentation. Given the international nature of the transaction, the client sought comprehensive legal advice to ensure that the contractual structure and documentation were fully aligned with applicable Indonesian laws and regulations.
The Dentons HPRP aviation team, led by Partner Hendra Ong and supported by Senior Associate Ken Atyk Nastiti and Associate Devandra Maula Zakki, advised on all Indonesian law aspects of the transaction. This included advising on the letter of intent, drafting the aircraft purchase agreement, and assisting the client in discussions and negotiations with the seller. The team also liaised directly with the seller to address changes to the closing procedure arising from technical issues during the preparation stage, ensuring that the revised transaction structure remained compliant from an Indonesian legal perspective.
