This prospectus relates to the resale from time to time of an aggregate of up to 1,072,900 shares of common stock, par value $0.001 per share ("Common Stock") of Super League Enterprise, Inc. (the "Company"), by the selling stockholders identified herein (the "Investors" or the "Selling Stockholders") or their permitted assigns. The shares of Common Stock being registered hereunder (the "Securities") include: (i) 26,768 shares of Common Stock (the "Common Shares"); (ii) 509,682 shares of Common Stock issuable upon exercise of a pre-funded common stock purchase warrant (the "Pre-Funded Warrant", and the shares of Common Stock issuable upon exercise of the Pre-Funded Warrant, the "PFW Shares"); and (iii) 536,450 shares of Common Stock issuable upon exercise of a common stock purchase warrant (the "Warrant", and the shares of Common Stock issuable upon exercise of the Warrant, the "Warrant Shares"). We will not receive any proceeds from the resale of the Securities by the Selling Stockholders in this offering. However, we may receive proceeds of up to approximately $9,656,000 from the exercise of both the Warrants and the Pre-Funded Warrants if such securities are exercised for cash by the Selling Stockholders once the registration statement, of which this prospectus is a part, is declared effective. We intend to use those proceeds, if any, for general corporate purposes, working capital and implementing strategic initiatives.

All selling and other expenses incurred by the Selling Stockholders will be paid by such stockholders, except for certain legal fees and expenses, which will be paid by us. The Selling Stockholders may sell, transfer or otherwise dispose of any or all of the Securities offered by this prospectus from time to time on The Nasdaq Capital Market or any other stock exchange, market, or trading facility on which the shares are traded, or in private transactions. On January 23, 2026, we effected a reverse stock split of our Common Stock at a ratio of 1-for-12 (the "Reverse Split"). All share and per share amounts disclosed in this prospectus have been adjusted to reflect the Reverse Split. However, share and per share amounts in certain of the documents incorporated by reference herein have not been adjusted to give effect to the Reverse Split.

Company Overview

We connect brands with the 3.5 billion-person global gaming population through advertising and branded content programs across gaming and digital media platforms. The Company generates revenue by executing these programs through proprietary interactive formats, creator content, immersive experiences, data-driven insights, and strategic campaign services to improve marketing performance. By translating player behavior into actionable intelligence, Super League serves as a trusted partner that enables brands to more effectively influence consumers who play video games, positioning the Company to capture a greater share of advertising spend over time.

The Company generates revenue from brands and agencies by executing programs targeting U.S. audiences that include (i) mini-games and experiences within Roblox, Minecraft, and Fortnite, (ii) playable and rewarded video ads in mobile and immersive environments, (iii) in-game ads across mobile and PC, (iv) connected TV gaming applications and sponsorships, (v) custom integrations within games, (vi) interactive characters, and (vii) influencer content across social and digital video platforms. An additional emerging revenue source includes participation in revenue generated by select game properties.

Reverse Common Stock Split

On January 16, 2026, the Company filed an amendment (the "2026 Amendment") to the Company's Third Amended and Restated Certificate of Incorporation, to effect a reverse stock split of the Company's issued and outstanding shares of common stock at a ratio of 1-for-12 (the "2026 Reverse Split"). The 2026 Amendment became effective on January 23, 2026. As a result of the 2026 Reverse Split, every 12 shares of the Company's issued and outstanding common stock was automatically combined and converted into one issued and outstanding share of common stock.

All references to common stock, warrants to purchase common stock, options to purchase common stock, restricted stock, share data, per share data and related information contained in the financial statements have been retroactively adjusted to reflect the effect of the 2026 Reverse Split (and all other prior reverse splits described herein) for all periods presented.

Our Business

As an early mover creating engaging experiences inside immersive gaming platforms since 2015, Super League has converted our deep understanding of young gamers into significant audience reach in virtual world and mobile gaming platforms. We believe we have successfully iterated our business model through these market insights, and our organic and inorganic growth to establish scale and ultimately drive our monetization strategies. Our strong and growing product market fit currently reaches more than 190 million consumers within mobile games and immersive platforms such as Roblox, Minecraft and Fortnite. Our proprietary software, and exclusive access to interactive content technology solutions through our partners, support the creation and distribution of branded gaming experiences and playable advertisements that drive strong consumer engagement. These capabilities and tools enable Super League to reach targeted audiences on behalf of our brand and advertising partners. With analytics and measurement solutions that reach across gaming channels, Super League provides pre- and post-campaign reporting, analytics and insights that demonstrate the efficacy of our partner programs. In addition to our primary solutions, our capability to produce compelling gaming-centric social video content and engage digital influencers expands the audience reach we deliver to our brand partners within gaming and social media platforms.

Specifically, Super League's digital experiences and media products provide a wide range of opportunities for brands and advertisers to acquire customers, deepen customer affinity and achieve business outcomes and growth. As Super League has scaled audience reach and diversified revenue across multiple platforms, we have experienced growth in both the average revenue size of branded programs and maintained a strong percentage of repeat buyers. The expanding market opportunity validates the emergence of gaming platforms as a new premium social marketing channel for advertisers to reach elusive Generation Z and Alpha consumers. With ongoing campaign and program success, Super League is making steady progress towards securing more persistent revenue, with brands electing to activate gaming channels as a consistent strategic priority within their annual marketing plans.

Misfits Acquisition

On March 16, 2026, the Company entered into an asset purchase agreement (the "Misfits Purchase Agreement") with Esports Now, LLC ("Misfits"), pursuant to which Misfits agreed to sell certain assets strictly constituting the Misfits Ads Business (the "Misfits Purchased Assets") to the Company, and the Company agreed to assume certain liabilities related to the Misfits Purchased Assets (the "Misfits Acquisition"). On May 1, 2026 (the "Misfits Closing Date"), the Company and Misfits consummated the Misfits Acquisition (the "Misfits Closing").

At the Misfits Closing, the Company paid the following consideration for the Misfits Purchased Assets: (i) a cash payment in the amount of $1.5 million (the "Misfits Closing Cash Consideration"), (ii) 26,768 shares of common stock (the "Common Shares"), (iii) a pre-funded common stock purchase warrant to purchase 509,682 shares of common stock (the "Pre-Funded Warrant," and the shares issuable upon exercise of the Misfits Pre-Funded Warrant, the "PFW Shares"), and (iv) a common stock purchase warrant to purchase 536,450 shares of common stock, with an exercise price of $18.00 (the "Warrant", and the shares issuable upon exercise of the Misfits Warrant, the "Warrant Shares")(the Common Shares, the PFW Shares, and the Warrant Shares collectively, the "Misfits Closing Share Consideration", or, the "Securities").

Pursuant to the terms and subject to the conditions of the Misfits Purchase Agreement, on the one-year anniversary of the Misfits Closing, the Company will pay an additional cash payment in the amount of $300,000 (the "Delayed Cash Payment"), and on the one-year anniversary of the Misfits Closing, the Company may, subject to certain conditions being met, pay up to an aggregate of (i) $1.2 million in cash (the "Misfits Earnout Cash"), and (ii) issue 105,571 shares of common stock, or, upon the election of Misfits, Misfits Pre-Funded Warrants to purchase 105,571 shares of common stock (the "Misfits Earnout Shares", and collectively with the Misfits Earnout Cash, the "Misfits Earnout Consideration").

The Warrants are exercisable immediately upon issuance, expire two years from the date of issuance, and have an initial exercise price of $18.00 (the "Initial Exercise Price"), subject to adjustment for any stock splits, stock dividends, recapitalizations, and similar events. The exercise price of the Pre-Funded Warrant per underlying share of common stock is $0.001.

In connection with the closing of the Misfits Acquisition and the entrance into the Misfits Purchase Agreement, the Company and Misfits entered into a registration rights agreement dated May 1, 2026 (the "Registration Rights Agreement"), pursuant to which the Selling Stockholders were granted certain registration rights with respect to the Misfits Closing Share Consideration. Pursuant to this prospectus, we are registering, on behalf of the Selling Stockholders, the shares of common stock issued as the Misfits Closing Share Consideration.

The number of shares of our Common Stock ultimately offered for resale by the Selling Stockholder under this prospectus is dependent upon the number of shares issued upon exercise of the Pre-Funded Warrants and Warrants. There is no public trading market for the Pre-Funded Warrants or Warrants and we do not expect a market to develop. In addition, we do not intend to list the Pre-Funded Warrants or Warrants on The Nasdaq Capital Market or any other national securities exchange or nationally recognized trading system. Without an active trading market, the liquidity of the Pre-Funded Warrants and Warrants will be limited.

Holders of the Pre-Funded Warrants and Warrants will have no rights as common stockholders until such holders exercise their Pre-Funded Warrants or Warrants and acquire our Common Stock.

Until holders of the Pre-Funded Warrants or Warrants acquire shares of our Common Stock upon exercise of the Pre-Funded Warrants or Warrants, holders of the Pre-Funded Warrants and Warrants will have no rights with respect to the shares of our Common Stock issuable upon exercise of such warrants. THE MISFITS ACQUISITION

On March 16, 2026, Super League Enterprise, Inc. (the "Company"), entered into an Asset Purchase Agreement (the "Purchase Agreement") with Esports Now, LLC ("Misfits"), pursuant to which Misfits agreed to sell certain assets strictly constituting the Misfits Ads Business (the "Purchased Assets") to the Company, and the Company agreed to assume certain liabilities related to the Purchased Assets (the "Transaction").

On March 20, 2026, the Company filed with the Securities and Exchange Commission ("SEC") a preliminary proxy statement, followed by the filing of the definitive proxy statement with the SEC on April 2, 2026 (the "Proxy Statement"). The Proxy Statement solicited the approval of the issuance of an aggregate of 1,161,813 shares of common stock to be issued as consideration in connection with the Transaction (the "Issuance Proposal") by the affirmative vote of a majority of the voting power of the Company's shares, present in person or by proxy and entitled to vote on the matter, at a special meeting of the Company's stockholders, scheduled for April 30, 2026 (the "Special Meeting").

On April 30, 2026, at the Special Meeting, stockholders approved the proposal. On May 1, 2026 (the "Closing Date"), the Company and Misfits consummated the transaction (the "Closing").

At Closing, the Company paid the following consideration for the Purchased Assets: (i) a cash payment in the amount of $1.5 million (the "Closing Cash Consideration"), (ii) 26,768 shares of common stock (the "Closing Shares"), (iii) a pre-funded common stock purchase warrant to purchase 509,682 shares of common stock (the "Pre-Funded Warrant", and the shares issuable upon exercise of the Pre-Funded Warrant, the "PFW Shares"), and (iv) a common stock purchase warrant to purchase 536,450 shares of common stock, with an exercise price of $18.00 (the "Warrant", and the shares issuable upon exercise of the Warrant, the "Warrant Shares")(the Closing Shares, the PFW Shares, and the Warrant Shares are collectively, the "Closing Share Consideration"). Pursuant to the terms and subject to the conditions of the of the Purchase Agreement, on the one-year anniversary of the Closing, the Company will pay a cash payment in the amount of $300,000 (the "Delayed Cash Payment").

In addition, pursuant to the terms and subject to the conditions of the Purchase Agreement, on the one-year anniversary of the Closing, the Company may pay up to an aggregate of (i) $1.2 million in cash (the "Earnout Cash"), and (ii) 105,571 shares of common stock, or, upon the election of Misfits, pre-funded warrants to purchase 105,571 shares of common stock (the "Earnout Shares", and collectively with the Earnout Cash, the "Earnout Consideration"). The Earnout Consideration will be payable to Misfits in connection with: (x) the achievement of certain gross profit milestones for the period beginning on the Closing until the date that is one (1) year from the date of the Closing; and (xi) the Company's market capitalization as of the one and two year anniversary of the date of Closing.

The Warrants are exercisable immediately upon issuance, expire two years from the date of issuance, and have an initial exercise price of $18.00 (the "Initial Exercise Price"), subject to adjustment for any stock splits, stock dividends, recapitalizations, and similar events. The Warrants also contain a call feature, whereby, after the Company has registered the Warrant Shares on an effective registration statement filed with the SEC, the Company has the option, but not the obligation, and in the Company's sole and absolute discretion, to purchase the Warrant from the Holder at a price of $0.001 per share of Common Stock underlying the Warrant (the "Call Option"), in the event the closing price of the Company's Common Stock, as listed on the Nasdaq Capital Market, is at or above $18.00 per share for 20 consecutive trading days (the "Call Trigger"). The Company's right to exercise the Call Option will begin on the day immediately following the Call Trigger until the day that is thirty (30) calendar days thereafter, by way of delivery of a notice to exercise the Call Option to the holders of the Warrants.

The exercise price of the Pre-Funded Warrant per underlying share of common stock is $0.001. Pursuant to the Pre-Funded Warrant, a holder will not be entitled to exercise any portion of any Pre-Funded Warrant that, upon giving effect to such exercise, would cause: (i) the aggregate number of shares of Common Stock beneficially owned by such holder (together with its affiliates) to exceed 4.99% of the number of shares of Common Stock outstanding immediately after giving effect to the exercise; or (ii) the combined voting power of the Company's securities beneficially owned by such holder (together with its affiliates) to exceed 4.99% of the combined voting power of all of the Company's securities outstanding immediately after giving effect to the exercise, as such percentage ownership is determined in accordance with the terms of the Pre-Funded Warrant, which percentage may be changed at the holder's election to a higher or lower percentage not in excess of 9.99% upon 61 days' notice to the Company. In addition, in certain circumstances, upon a fundamental transaction, a holder of Pre-Funded Warrants will be entitled to receive, upon exercise of the Pre-Funded Warrants, the kind and amount of securities, cash or other property that such holder would have received had they exercised the Pre-Funded Warrants immediately prior to the fundamental transaction.

In connection with the Closing of the Transaction and the entrance into the Purchase Agreement, the Company and Misfits entered into an exclusive brand partnership agreement dated May 1, 2026 (the "Brand Partnership Agreement"), pursuant to which Misfits agreed to grant certain preferred rights (the "Preferred Rights") to the Company for purposes of selling brand partnerships where a third-party brand may be advertised (via sponsorships, marketing, brand endorsements, product placements, brand integrations and other similar associations) (collectively, "Partnerships") within certain games in the Misfits Roblox game portfolio (the "Misfits Games"). The initial term of the Brand Partnership Agreement is one year, subject to extension by mutual agreement. The Brand Partnership Agreement may be terminated upon written notice. The Brand Partnership Agreement includes customary representations of the parties and confidentiality provisions.

Pursuant to the terms and conditions of the Purchase Agreement, at Closing, Misfits was granted the right to appoint a designee of its choosing ("Board Designee") to the Board of Directors of the Company; provided, however, the Board Designee must be qualified to serve on a public company's board of directors and meet the requirements of an "independent director" pursuant to the rules and regulations of Nasdaq. Effective May 6, 2026, the Board of the Company appointed Robert Kalutkiewicz as a member of the Board, effective immediately, as a Class III director to serve as a director until the Company's next annual meeting of stockholders, and until such time as his successor is duly elected and qualified, or until his earlier death, resignation, or removal. The Selling Stockholder has informed us that it does not have any written or oral agreement or understanding, directly or indirectly, with any person to distribute their securities. USE OF PROCEEDS

We will not receive any proceeds from the sale of the shares of our Common Stock by the Selling Stockholder. However, upon any exercise of the Pre-Funded Warrants or Warrants by payment of cash, we will receive the exercise price of $0.00001 per share for Pre-Funded Warrants and $18.00 per share for Warrants, with the Warrant exercise price amount being subject to adjustment as set forth in the Pre-Funded Warrant and/or Warrant, as applicable. In the event the Pre-Funded Warrants and Warrants are exercised in full by payment of cash, we may receive gross proceeds of up to approximately $9,656,000. We intend to use the proceeds from any exercise of the Pre-Funded Warrants and/or Warrants, if any, for general corporate purposes, working capital and implementing strategic initiatives.
