Global law firm Norton Rose Fulbright has advised Alsendo, Abris Capital Partners portfolio company, on a multi-jurisdictional secured term loan financing provided by ING.
Alsendo is a leading technology platform supporting e-commerce logistics and shipping management across Europe.
The financing will support the group's continued growth strategy, including acquisitions, refinancing of existing indebtedness and general corporate purposes.
The financing consisted of five term facilities, including acquisition and refinancing facilities, and involved borrower entities in both Poland and Luxembourg. The transaction also included a complex cross-border security and guarantee package covering Poland, Luxembourg, Italy and Romania.
The transaction required close coordination across multiple jurisdictions and legal workstreams, and involved complexities including the implementation of security structures under different legal regimes, Italian corporate benefit and financial assistance considerations, as well as changes to the Romanian guarantee structure during the final stages of the transaction.
The Norton Rose Fulbright team was led by counsel Joanna Braciszewska-Szarapa and supported by associate Jakub Wiatrzyk, working under the supervision of partner Grzegorz Dyczkowski, who heads the firm's Warsaw office and Warsaw banking and finance practice. Senior associate Charlène Thibaudon advised on Luxembourg law matters, while partner Gennaro Mazzuoccolo and associate Leone Sgaravatti advised on Italian law aspects of the transaction.
