This prospectus relates to the offer and sale from time to time of up to 8,910,579 shares of our common stock, par value $0.001 per share ("common stock"), by Lincoln Park Capital Fund, LLC ("Lincoln Park" or the "Selling Stockholder").
The shares included in this prospectus consist of shares of common stock that we have issued or that we may, in our discretion, elect to issue and sell to the Selling Stockholder, from time to time after the date of this prospectus and the date of the satisfaction of the conditions to the Selling Stockholder's purchase obligations (the "Commencement Date") as set forth in the common stock purchase agreement we entered into with Lincoln Park on August 13, 2026 (the "Purchase Agreement"). We are not selling any shares of common stock being offered by this prospectus and will not receive any of the proceeds from the sale of such shares by the Selling Stockholder. However, we may receive up to $25 million aggregate gross proceeds (the "Initial Available Amount") from sales of common stock to Lincoln Park under the Purchase Agreement and, upon our receipt of gross proceeds equal to the full Initial Available Amount from such sales, the total aggregate dollar amount that will be available to us under the Purchase Agreement will automatically increase by an additional $25 million (such additional amount, the "Additional Available Amount"), and thereafter we may receive up to such Additional Available Amount (or up to a total of $50 million aggregate gross proceeds (the "Total Available Amount")) from sales of common stock to Lincoln Park under the Purchase Agreement. The shares registered pursuant to this prospectus also include (i) 560,356 shares of common stock that we issued to the Selling Stockholder concurrently with our execution of the Purchase Agreement, as consideration for its irrevocable commitment (the "Initial Commitment Shares") to purchase shares of our common stock under the Purchase Agreement at our election in our sole discretion, from time to time after the date of this prospectus, upon the terms and subject to the satisfaction of the conditions set forth in the Purchase Agreement and (ii) 350,223 shares of common stock to be issued to the Selling Stockholder as additional consideration for its irrevocable commitment to purchase shares of our common stock under the Purchase Agreement, following our receipt of gross proceeds equal to the full Initial Available Amount from sales of common stock to Lincoln Park under the Purchase Agreement (the "Additional Commitment Shares," and together with the Initial Commitment Shares, the "Commitment Shares"), pursuant to the terms of the Purchase Agreement. Overview
We are a clinical-stage biotechnology company advancing a pipeline of advanced chimeric antigen receptor T-cell ("CAR-T") product candidates, including our lead program, TPST-4003, a dual-targeting CD19/B-cell maturation antigen ("BCMA") in vivo CAR-T product candidate, which we are developing for indications in immunology and oncology. In February 2026, we expanded our pipeline through a strategic transaction under which we acquired rights to a dual-targeting CAR-T platform, which included product candidates with the potential to treat certain blood cancers, solid tumors and immunology indications, including TPST-2003, an autologous CD19/BCMA CAR-T therapy currently in clinical development for relapsed or refractory multiple myeloma and the rare disease, POEMS syndrome.
Our mission is to develop therapeutic products with the potential to address high unmet medical needs by identifying promising clinical-stage candidates and advancing their development to create products that will improve patients' lives.
Purchase Agreement with the Selling Stockholder
On August 13, 2026, we entered into the Purchase Agreement with Lincoln Park, pursuant to which Lincoln Park has agreed to purchase from us up to an aggregate of $50,000,000 of our common stock (subject to certain limitations) from time to time over the term of the Purchase Agreement. Pursuant to the Purchase Agreement, we may receive aggregate gross proceeds up to the Initial Available Amount from sales of common stock to Lincoln Park and, upon our receipt of gross proceeds equal to the full Initial Available Amount from such sales, the total aggregate dollar amount that will be available to us under the Purchase Agreement will automatically increase by the Additional Available Amount, and thereafter we may receive up to such Additional Available Amount (or up to the Total Available Amount) from sales of common stock to Lincoln Park under the Purchase Agreement. In connection with the Purchase Agreement, we entered into a Registration Rights Agreement, dated August 13, 2026 (the "Registration Rights Agreement"), with the Selling Stockholder, pursuant to which we agreed to file with the SEC the registration statement of which this prospectus is a part to register for resale under the Securities Act, the shares of our common stock that have and may be issued to the Selling Stockholder under the Purchase Agreement.

Lincoln Park has committed to purchase up to $50 million aggregate gross proceeds from sales of common stock (initially $25 million and if the full Initial Available Amount is purchased, then immediately and automatically up to an additional $25 million aggregate gross proceeds) of our common stock under the Purchase Agreement. We generally have the right to control the timing and amount of any future sales of our shares to the Selling Stockholder. THE LINCOLN PARK TRANSACTION
General
On August 13, 2026, we entered into the Purchase Agreement with Lincoln Park, pursuant to which Lincoln Park has agreed to purchase from us up to an aggregate of $50,000,000 of our common stock (subject to certain limitations) from time to time over the term of the Purchase Agreement. Pursuant to the Purchase Agreement, we may receive aggregate gross proceeds up to the Initial Available Amount from sales of common stock to Lincoln Park and, upon our receipt of gross proceeds equal to the full Initial Available Amount from such sales, the total aggregate dollar amount that will be available to us under the Purchase Agreement will automatically increase by the Additional Available Amount, and thereafter we may receive up to such Additional Available Amount (or up to the Total Available Amount) from sales of common stock to Lincoln Park under the Purchase Agreement.

In addition, at our discretion, Lincoln Park has committed to purchase other "Accelerated Purchases" or "Additional Accelerated Purchases" under certain circumstances. The purchase price per share of common stock sold in each such Accelerated Purchase and Additional Accelerated Purchase, if any, will be based on market prices of the common stock on the applicable purchase dates for such Accelerated Purchases and Additional Accelerated Purchases as computed under the Purchase Agreement.

Under the applicable Nasdaq listing rules, in no event may we issue to Lincoln Park under the Purchase Agreement more than the Exchange Cap limit of 3,195,881 shares of our common stock, which number of shares is equal to 19.99% of the shares of common stock outstanding immediately prior to the execution of the Purchase Agreement, unless (i) the Company first obtains stockholder approval to issue shares of common stock in excess of the Exchange Cap in accordance with applicable Nasdaq listing rules, or (ii) at the time the Company has issued shares of common stock equal to the Exchange Cap and at all times thereafter, the average price per share of common stock for all shares of common stock sold by the Company to Lincoln Park under the Purchase Agreement equals or exceeds $1.3854 per share (representing the lower of the official closing price of the common stock on Nasdaq on the trading day immediately preceding the date of the Purchase Agreement and the average official closing price of the common stock on Nasdaq for the five consecutive trading days ending on the trading day immediately preceding the date of the Purchase Agreement, as adjusted under applicable Nasdaq rules to take into account the issuance of Commitment Shares to Lincoln Park for non-cash consideration), such that the Exchange Cap limitation would no longer apply to issuances and sales of common stock by the Company to Lincoln Park under the Purchase Agreement under applicable Nasdaq listing rules.
The Purchase Agreement also prohibits the Company from directing Lincoln Park to purchase any shares of common stock if those shares, when aggregated with all other shares of common stock then beneficially owned by Lincoln Park (as calculated pursuant to Section 13(d) of the Exchange Act and Rule 13d-3 thereunder), would result in Lincoln Park beneficially owning more than the Beneficial Ownership Limitation of 4.99% of the outstanding shares of common stock.
The Company will control the timing and amount of any sales of common stock to Lincoln Park pursuant to the Purchase Agreement. Lincoln Park has no right to require the Company to sell any shares of common stock to Lincoln Park under the Purchase Agreement, but Lincoln Park is obligated to make purchases of common stock as the Company directs, upon the terms and subject to the satisfaction of the conditions set forth in the Purchase Agreement. Neither we nor Lincoln Park may assign or transfer our respective rights and obligations under the Purchase Agreement without consent of the other party, and no provision of the Purchase Agreement or the Registration Rights Agreement may be modified or waived by the Company or Lincoln Park.

Our Termination Rights

No Short-Selling or Hedging by Lincoln Park
Lincoln Park has represented to us that at no time prior to the time of execution of the Purchase Agreement has Lincoln Park or its agents, representatives or affiliates engaged in or effected, in any manner whatsoever, directly or indirectly, any short sale (as such term is defined in Rule 200 of Regulation SHO under the Exchange Act) of our common stock or any hedging transaction, which establishes a net short position with respect to our common stock. Lincoln Park agreed that during the term of the Purchase Agreement, it, its agents, representatives or affiliates will not enter into or effect, directly or indirectly, any of the foregoing transactions.
Prohibitions on Similar Transactions
There are no restrictions on future financings, rights of first refusal, participation rights, penalties or liquidated damages in the Purchase Agreement or Registration Rights Agreement, except the Company is prohibited, subject to certain exceptions, until (i) the 24-month anniversary of the Commencement Date and (ii) in the event the Company terminates the Purchase Agreement, the earlier of (A) the one-hundred-eightieth (180th) calendar day after the effective date of any termination of the Purchase Agreement and (B) the date on which Lincoln Park no longer owns any Securities (as defined in the Purchase Agreement), whichever occurs first, from effecting or entering into any agreement to effect an "equity line of credit", "at-the-market offering" or other similar offering with another third party in which the Company may issue and sell common stock, from time to time over a certain period of time, at future determined prices based on the market prices of the common stock at the time of each such issuance and sale. The foregoing prohibition is subject to certain exceptions, including that we may issue shares of common stock in an "at-the-market offering" under Rule 415(a)(4) under the Securities Act exclusively through one or more registered broker-dealer(s) acting as our agent(s) pursuant to a written agreement between us and such registered broker-dealer(s).
Effect of Performance of the Purchase Agreement on Our Stockholders
All shares of our common stock being registered for resale hereunder which may be issued or sold by us to Lincoln Park under the Purchase Agreement are expected to be freely tradable. It is anticipated that shares registered in this offering will be sold from time to time over a period of up to 24-months commencing on the date that the registration statement of which this prospectus is a part becomes effective.

USE OF PROCEEDS
We will not receive any of the proceeds from the sale of any common stock by the Selling Stockholder offered under this prospectus, but we will bear all fees and expenses incident to our obligation to register the shares of common stock being offered for resale hereunder by the Selling Stockholder.
We may receive up to $50.0 million in aggregate gross proceeds under the Purchase Agreement, of which $50.0 million remains to be purchased (initially $25 million and if the full $25 million is purchased, then immediately and automatically up to an additional $25 million aggregate gross proceeds), from any sales we make to Lincoln Park pursuant to the Purchase Agreement. Assuming a purchase price of $1.02 (which represents the closing price of our common stock on August 20, 2026), the purchase by Lincoln Park of the entire 8,000,000 shares being registered for resale hereunder, which we have the right but not the obligation to sell to Lincoln Park, would result in gross proceeds to us of approximately $8.2 million, and we estimate approximately $8.0 million of net proceeds, after estimated fees and expenses. Our amended and restated certificate of incorporation provides for indemnification of our directors, officers, employees and other agents to the fullest extent permitted by the Delaware General Corporation Law.

We have entered into indemnification agreements with each of our current directors and officers. These agreements provide for the indemnification of such persons for all reasonable expenses and liabilities incurred in connection with any action or proceeding brought against them by reason of the fact that they are or were serving in such capacity. We believe that these indemnification agreements are necessary to attract and retain qualified persons as directors and officers. Furthermore, we have obtained director and officer liability insurance to cover liabilities our directors and officers may incur in connection with their services to us.

Recent Sales of Unregistered Securities. |
We sold the securities described below within the past three years which were not registered under the Securities Act.
On November 24, 2025, the Company sold an aggregate of 487,000 shares of the Company's common stock, pre-funded warrants to purchase 685,414 shares of its common stock (the "November 2025 Pre-Funded Warrants") and warrants to purchase an aggregate of 1,172,414 shares of common stock (the "November 2025 Common Warrants") in a registered direct offering (the "November RDO"). The combined purchase price of each share of common stock and accompanying November 2025 Common Warrant was $3.625. The combined purchase price of each November 2025 Pre-Funded Warrants and accompanying November 2025 Common Warrants was $3.624 (equal to the combined purchase price per share of common stock and accompanying November 2025 Common Warrant, minus $0.001). The exercise price of the November 2025 Common Warrants is $3.50 per share. The net proceeds from the November RDO were approximately $3.8 million, after deducting placement agent fees and estimated offering expenses payable by the Company. As of June 30, 2026, all November 2025 Pre-Funded Warrants had been exercised. On May 28, 2026, the Company entered into an inducement agreement with the holder of the November 2025 Common Warrants, which were exercisable for 1,172,414 shares of common stock at an exercise price of $3.50 per share and were classified within stockholders' equity (deficit). To induce the holder to exercise the November 2025 Common Warrants for cash, the Company reduced the exercise price of the November 2025 Common Warrants to $1.73 per share and agreed to issue to the holder new warrants to purchase up to 2,344,828 shares of common stock at an exercise price of $1.73 per share (the "New Warrants"). The holder exercised the November 2025 Common Warrants in full for aggregate gross proceeds of approximately $2.0 million. In connection with the transaction, the Company issued to the placement agent warrants to purchase 82,069 shares of common stock at an exercise price of $2.1625 per share (the "Placement Agent Warrants").
On March 20, 2026, the Company entered into a securities purchase agreement for the sale of securities, pursuant to which the Company agreed to issue and sell in a private placement an aggregate of 462,964 shares of the Company's common stock, and, in lieu of common stock, pre-funded warrants to purchase up to 462,963 shares of common stock, in each case accompanied by (i) Series A warrants to purchase up to 925,927 shares of common stock and (ii) Series B warrants to purchase up to 925,927 shares of common stock The combined purchase price per share and accompanying common warrants was $2.16 and the combined purchase price per pre-funded warrant and accompanying common warrants was $2.159. The gross proceeds to us from the private placement were approximately $2.0 million (excluding up to approximately $4.0 million of aggregate gross proceeds that may be received in the future upon the cash exercise of the common warrants), before deducting placement agent fees and other offering expenses payable by the Company. The Common Warrants have an exercise price of $2.16 per share.
On August 13, 2026, we entered into a purchase agreement with Lincoln Park, pursuant to which Lincoln Park has committed to purchase from us, at our direction, up to $50,000,000 million of shares of our common stock, such that the initial available amount shall be $25.0 million, automatically increased by an additional amount of $25.0 million thereafter, subject to the terms and conditions specified in such purchase agreement. Pursuant to such purchase agreement, we issued to Lincoln Park 560,356 shares (the "Initial Commitment Shares") of common stock concurrently with our execution of the purchase agreement as consideration for its irrevocable commitment to purchase shares of our common stock thereunder, and may issue 350,223 shares of

Common Stock as additional commitment shares following full funding of the initial available amount of $25.0 million, subject the terms and conditions contained therein. As of the date hereof, other than the Initial Commitment Shares, we have not issued and sold any shares of common stock under such purchase agreement.
