Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 24, 2026, Nutanix, Inc. (the "Company") announced that Tarkan Maner has decided to step down as President and Chief Commercial Officer, effective October 2, 2026. The Company thanks Mr. Maner for his many years of service and leadership. Following his departure from his executive position, Mr. Maner intends to devote more time to his external board, industry leadership, and advisory activities. Oversight of the Company's sales, marketing and customer experience organizations will transition to Chief Executive Officer Rajiv Ramaswami. The Company and Mr. Maner are discussing a potential senior advisor transition arrangement under which he would provide transition and strategic advisory services to the Company.
