Lowenstein Sandler LLP advised VFC Holdco 2023, LLC, the owner of Venezia FC, in connection with a private placement led by Entrepreneur Equity Partners (EEP) which upsized its existing investment in the company. Venezia FC, an Italian professional football club based in Venice, Italy, was recently promoted to compete in Italy's top division, Serie A, following its win in the Serie B league championship this season.
The additional investment was completed on May 1 and makes EEP's investment vehicle the largest outside shareholder of VFC.
In connection with the EEP investment, EEP's Francesca Bodie was named the club's first female president, becoming the only woman to hold that position currently in Italy's top division. EEP's Tim Leiweke joins VFC Holdco as co-Chair of the Board with existing investor and co-Chair Rob Hamwee.
The invested funds will be used to enhance the club's financial stability and support its ambitions to compete at the highest levels of Italian and European football (known in the United States as soccer). The new capital will also fund the construction of the Club's new stadium in Bosco dello Sport and increased investments in players.
The Lowenstein legal advisory team was led by David L. Goret, Brendan J. Koeth, Kevin Colan, and Jake Ironfield.
