Explanatory Note

This Post-Effective Amendment No. 615 to the Trust's Registration Statement is being filed pursuant to Rule 485(b)(1)(iii) for the sole purpose of designating April 24, 2026, as the new effective date upon which the Trust's Post-Effective Amendment No. 606 shall become effective.

Post-Effective Amendment No. 606 to the Trust's Registration Statement relates to the M International Equity Fund, M Large Cap Growth Fund, M Capital Appreciation Fund and M Large Cap Value Fund. Parts A, B and C of Registrant's Post-Effective Amendment No. 606 under the Securities Act of 1933 and Amendment No. 608 under the Investment Company Act of 1940, filed on January 20, 2026 (SEC Accession No. 0001580642-26-000299), are incorporated by reference herein.
