Lehi, UTAH - (BUSINESSWIRE) - Owlet, Inc. (NYSE: OWLT)(the "Company" or "Owlet"), the pioneer of smart infant monitoring, today announced that on April 28, 2026, the Compensation Committee of its Board of Directors approved an equity inducement award to Kurt Workman, the Company's Co-Founder and Former CEO, who returned to the Company on April 6, 2026, as its newly appointed President and Chief Executive Officer, after a bona fide period of interruption of employment. Mr. Workman stepped down as CEO in October 2025 and served as Executive Chairman of the Board in a non-employee capacity until his reappointment. The award was made in connection with Mr. Workman rejoining the Company as a material inducement to employment.
The equity inducement award consists of 850,000 restricted stock units ("Inducement RSUs"), which will vest in 1/12th installments on each quarterly anniversary of April 6, 2026, such that the award will be fully vested on April 6, 2029, subject to Mr. Workman's continued employment with the Company through each vesting date.
The Compensation Committee of the Company's Board of Directors approved the award of the Inducement RSUs in reliance on the employment inducement exemption to shareholder approval under Rule 303A.08 of the New York Stock Exchange Listed Company Manual.
