Bird & Bird advises Cordel Group plc on its takeover by Vossloh AG

International law firm Bird & Bird has advised AIM-listed Cordel Group plc on the completion of its £29 million recommended takeover by German-listed Vossloh AG, effected by a scheme of arrangement which became effective on 13 August 2026.

The acquisition combines Vossloh's global infrastructure expertise with Cordel's advanced digital technologies, creating a more integrated proposition for customers. Vossloh's international footprint will also drive Cordel's expansion across Europe and beyond.

Cordel is a technology provider for railways, using AI and big data insights to transform rail infrastructure management.

Vossloh is a German-listed technology company specialising in rail infrastructure, whose products and solutions form key components of modern freight and passenger rail networks worldwide.

The Bird & Bird team was led by Michael Dawes (partner, Corporate) together with Monique Dhiri and Zoe Bannel- Symes (senior associates, Corporate) and Emily Richards (associate, corporate). Advice on share options was provided by Sarah Ferguson (partner, employee incentives), David Walder (legal director, employee incentives) and Danny McNeill (associate, employee incentives).
