Rationale and Mitigation
No corporate or personal guarantee
The Holdco Equity Pledge gives the Company control of the Borrower itself, cash is under the Company's control from the first dollar, every Advance is discretionary and the Sponsor is personally liable for bad acts
No historical financial statements of the Borrower
The Borrower is newly formed; the analysis rests on the Borrower model and on Tesla payout statements for the operating hub
Sponsor reporting limited to an annual confirmation
Consistent with a pledgor-only role
DSRA built from cash flow rather than funded at closing
No distribution is possible until the DSRA is full
Risk
Description
Mitigation
Counterparty and Sponsor
A borrower formed in July 2026 with no financial history, run by one principal who also carries other projects and personal guaranties
The Holdco Equity Pledge lets the Company replace management and take control of the group. Tesla performs O&M and billing, so daily operation does not depend on the Sponsor's time. Cash sits in Controlled Accounts from the first dollar, reporting is monthly and the Company observes the Project Oversight Committee. Every Advance is discretionary, so new exposure stops if the Sponsor's position weakens
Concentration and related parties
One operating hub carries debt service until other hubs qualify; the Sponsor's management company earns fees, and PLA No. 1 permits Morrisville costs before ChargedEV Raleigh LLC is collateral
The covenant tests only Qualified Projects, and new hubs add exposure only through discretionary Advances. Management fees are capped and paid after the distribution tier. Any Sponsor loan is subordinated. Morrisville spending under PLA No. 1 needs the Company's specific written approval
Collateral and perfection
Security is not yet granted or perfected; third-party consents name another Energea vehicle; the Norcross hosting agreement cannot be assigned without the host's consent
Under Waiver No. 1 the Initial Advance funds before perfection, with UCC filings, account control agreements and insurance endorsements due within three to thirty Business Days, and missing any deadline is an Event of Default without a cure period. Enforcement at the equity level keeps each project company, and its Tesla and site contracts, in place without assignment. Tesla's consent to the financing is on file and is being conformed to the Company's name. Unsatisfied conditions subsequent block further Advances
Revenue and Tesla dependence
Uncontracted charging sales exposed to utilization, competition and price; Tesla is the sole network, billing and O&M provider
Norcross payouts are evidenced monthly and rose from May to August 2026 before easing in September. The 1.20x covenant and the 1.30x distribution lock-up retain cash when volume falls. The Company receives any Tesla or host termination notice within two Business Days, and termination or suspension of a material contract is an Event of Default
Technical and construction
Morrisville and the pipeline are new builds that depend on utility make-ready work, permitting and contractor delivery
Construction Advances are released against an approved budget, verified milestones, an in-balance test and up to 10% holdback. Tesla supplies and commissions the hardware. Each new build has its own PLA Memo before it joins
Debt sizing and model
The Borrower model predates the MLA terms; restated on the MLA profile, trailing six-month DSCR falls below 1.20x during the 2027 ramp-up
Norcross cash flow evidenced by Tesla statements runs well above the model. The covenant excludes hubs until they have six months of cash flow. The Company may sculpt any Advance and sizes every Advance at its discretion, and the Sponsor may cure with equity
Interest rate and inflation
Energy cost and rent move with utility tariffs and inflation, while the coupon is fixed
Facility, revenue and costs are in US dollars. Margin compression shows in CFADS and triggers the distribution lock-up before the covenant
Legal, regulatory and tax
Document conformity at closing; repeal of the Section 30C credit and reliance on utility programs and grants; enforceability of the 50% prepayment premium
Conformity items are conditions precedent. Incentives are neither debt nor CFADS, and incentive continuity is a covenant. Legal opinions are a condition precedent, and counsel is to confirm the prepayment premium
Contract
Master Loan Agreement executed October 15, 2026, dated as of
October 14, 2026; each hub is added through a Project Loan Agreement
Parties
Energea Portfolio 4 USA LP (the Company) as lender; ChargedEV Holdings LLC as Borrower; Jeremy Watrous as Sponsor, solely for the Holdco Equity Pledge, the Warrant and the provisions that apply to him
Aggregate Cap
USD 10,000,000; a ceiling, not a commitment, which the Company may raise at its discretion
Commitment
Uncommitted and fully discretionary; the Company may decline, defer, reduce or condition any Advance and may terminate the facility at any time by notice
Interest
13.50% a year, fixed, all-in, in USD; 30/360; payable monthly in arrears on the fifth Business Day; no fees to the Borrower; default rate plus 3.50%
Tenor and Amortization
Each Advance is interest only for three months, then fully amortizes in level monthly payments over seven years; the Company may sculpt the profile to support the DSCR covenant
Construction Advances
Against an approved budget and draw schedule, an in-balance test and a Technical Certificate for each milestone; up to 10% holdback until commercial operation
Prepayment Premium
50% of the principal prepaid; none on casualty, condemnation or insurance proceeds or after an increased-cost demand
Borrowing Base
No fixed advance rate; each Advance sized against the Company's valuation of eligible collateral, with haircuts for partial or assigned revenue interests
Debt Service Reserve
Three months of scheduled debt service, built from operating cash flow
Financial Covenant
DSCR of at least 1.20x on a trailing six-month basis, on Qualified Projects, tested on each Payment Date and quarter-end; Sponsor equity cure at most twice in four quarters and five times in total
Distributions
Only from excess cash flow, with trailing six-month DSCR of at least 1.30x (waived until April 14, 2027), the DSRA full, debt service and reporting current and no Default
Cash Management
Revenue paid by Tesla into Company-controlled accounts at
Column Bank and Brex Treasury; fixed waterfall of operating costs, debt service, DSRA, clawback and then distributions
Right of First Refusal
Over third-party financing of new US EV charging projects of the Borrower group, excluding the Baltimore project; ends once cumulative Advances reach USD 10,000,000
Hard-Locked Terms
Definitions, uncommitted character, Aggregate Cap, Borrowing Base, permitted uses, interest and payments, approval gates, cash management, Holdco Equity Pledge, Events of Default, security and governing law; changed only by amendment to the MLA
Governing Law
Delaware law; perfection and enforcement follow the UCC of another state where mandatory choice-of-law rules require
Pledgor
Jeremy Watrous
Holdco Equity Pledge
100% of the Sponsor's equity in the Borrower; on an Event of Default the Company may exercise all rights of an equity holder, including removing and replacing the Borrower's managers
Release
Only on payment in full and termination of the facility; no performance-based or calendar-based release
Sponsor Recourse
Limited to the pledged equity, except full personal liability for losses from fraud, wilful misconduct or bad faith, misappropriation or diversion of revenue, a voluntary or collusive insolvency filing, an unpermitted transfer of the Borrower's equity and physical waste
Equity Cure
The Sponsor may cure a DSCR shortfall with cash equity; a right, not an obligation
Warrant
Option over up to 10% of the Borrower's equity at an aggregate exercise price of 20% of Advances disbursed, pro-rated for partial exercise; exercisable only after USD 2,000,000 has been disbursed and while obligations are outstanding; non-dilutive
