Honigman advised the placement agents in the registered direct offering of One Stop Systems, Inc. (NASDAQ: OSS), a leader in AI-enabled solutions.

On October 1, 2025, One Stop Systems closed its offering, issuing 2,500,000 shares of common stock to certain new and existing institutional investors at a purchase price of $5.00 per share. Gross proceeds totaled approximately $12.5 million, before deducting placement agent commissions and other offering expenses.

A.G.P./Alliance Global Partners acted as the lead placement agent in the offering, and Roth Capital Partners was a joint placement agent.

Honigman represented A.G.P./Alliance Global Partners and Roth Capital Partners in connection with the offering. The team was led by Corporate Partners Michael J. Rosenberg, and N.
