Libeara to Acquire Zodia Markets (Jersey) Limited from Zodia Markets

SINGAPORE and JERSEY, 23 October 2026 - Libeara Pte. Ltd. ("Libeara"), which provides tokenisation technology for regulated real-world assets, today announced the entry into a definitive agreement to acquire Zodia Markets (Jersey) Limited ("ZMJL"), an entity regulated by the Jersey Financial Services Commission for the conduct of Investment Business, Class A (Dealing in Investments) and supervised as a Virtual Asset Service Provider, from the Zodia Markets group. This development brings together Libeara's proven tokenisation technology infrastructure with a regulatory framework that allows for improved execution for digital-native international investors. Terms of the deal were not disclosed. Completion of the transaction is still pending regulatory approval.

"This acquisition will allow Libeara to offer streamlined execution for digital-native international investors, who want access to a broad range of tokenised assets." said Aaron Gwak, Founder and CEO of Libeara.

The Libeara group has a Singapore entity with a Capital Markets Services Licence issued by the Monetary Authority of Singapore.

"This acquisition reflects the natural evolution of our institutional digital asset strategy. Our Jersey business has built a strong regulatory foundation, and Libeara is well positioned to build on that footprint as tokenised finance continues to scale across institutional markets. We're confident this move will deliver continuity and added value for clients on both sides," said Nick Philpott, Interim CEO of Zodia Markets.

Following completion of the transaction, the entity will be known as Libeara (Jersey) Limited.
