Willkie advised lifestyle brand October's Very Own (OVO) and co-founder Drake on the sale of a majority stake in OVO's intellectual property to Authentic Brands Group, a global brand and entertainment platform, and the sale of the operating business of OVO to Vince Holding Corp. (Nasdaq: VNCE), a global retail platform and longstanding partner within Authentic's global network.
Authentic recently announced its acquisition of a majority stake in OVO's intellectual property and partnership with Drake, who will retain a significant ownership stake, to scale OVO globally. As part of the transaction, Vince has acquired OVO's operating business and will oversee the brand's design, product development, merchandising and retail stores.
OVO offers premium apparel and accessories and is known for its distinctive owl logo and black-and-gold aesthetic. The brand has grown into a globally recognized enterprise with 12 flagship stores and a worldwide e-commerce presence.
The Willkie team was led by partners Alan Epstein and Payom Pirahesh and included partners Bryan Kelly and Genevieve Dorment and associates Dhananjay Adusumilli, Taaj Reaves, Samuel Hoops and Charles Hancock.
