Greenberg Traurig Advises IHG Hotels & Resorts on Multijurisdictional European Hotel Portfolio

LONDON - May 6, 2026 - Greenberg Traurig, LLP's London office has advised IHG Hotels & Resorts on a complex, cross-border transaction relating to a portfolio of 11 hotels across Germany, France, and Belgium.

The 11 hotels, currently operated under the Penta brand, are being acquired by a joint venture between Ogilvy and Ironstone, with financing provided by Castlelake and Goldman Sachs, and are expected to transition to IHG's Holiday Inn, voco, and Garner brands in 2027.

Greenberg Traurig's Real Estate Finance team, led by Shareholder Duncan Hubbard and supported by Senior Associate Priyanka Verma and Trainee Solicitor Alex Marks, advised on aspects of the financing.

The firm's Real Estate team, led by Shareholder Ashia D. Adams, advised on the hotel management and franchising documentation, as well as the associated agreements. The team also led the property due diligence process, coordinating with local counsel across Germany, supported by Shareholders Dr. Nicolai Lagoni and Martin Dobiáš and Associate Anja Giddings in Greenberg Traurig's Berlin office, France, and Belgium.

The Corporate elements of the transaction were led by Shareholder Joel Wheeler, who advised on the acquisition structure and arrangements with the seller.
