For the conclusion of a ship management agreement in accordance with Law 4548/2018.

Pursuant to Article 101 par.2 of Law 4548/2018, Article 17 of Regulation (EU) No 596/2014 of the European Parliament and of the Council, as well as Article 4.1.1 of the Athens Stock Exchange Rulebook, as currently in force, the company "KIRIAKOULIS MEDITERRANEAN CRUISES SHIPPING S.A." (the "Company") hereby informs the investing public of the following:

Having taken into account the relevant recommendation of the Management, the draft of the proposed ship management agreement and the evaluation report dated 2.9.2025 of the ship management agreement prepared by the Independent Certified Public Accountant Mr. Konstantinos Kakolyris, SOEL Reg. No. 42931, of Deloitte Certified Public Accountants S.A., SOEL Reg. No. E120, the Board of Directors of the Company, at its meeting held on 3 September 2025, unanimously resolved and granted, in accordance with Articles 100 and 101 of Law 4548/2018, authorization for the conclusion of a ship management agreement between the subsidiary 'Sapphire Inc.' and the related party 'Y-Knot Ship Management Inc.' based on the BIMCO Standard Ship Management Agreement.

Pursuant to Article 100 par.3 of Law 4548/2018, within ten (10) days from the publication of this announcement, shareholders representing 1/20 of the Company's share capital may request the convocation of a General Meeting to decide on the matter of granting the said authorization.
