Item 8.01 Other Events.
On December 31, 2025, Rockwell Medical, Inc. (the "Company") and DaVita, Inc. entered into the Second Amendment (the "Amendment") to the Amended and Restated Products Purchase Agreement, dated as of September 18, 2023, as amended effective as of March 31, 2025 (the "Agreement"), which extended the term of the Agreement by one year to December 31, 2026 (the "Extension Term"). The Amendment, which is effective as of December 23, 2025, also provides for a price increase on the products sold under the Agreement for the Extension Term.
