A cross-border team from Norton Rose Fulbright advised Optimi Health Corp. in connection with the establishment of a discretionary equity facility providing the company with access to up to US$100 million in capital through a share purchase arrangement with investment firm Seven Knots, LLC. The definitive agreement was executed on August 13, 2026.
Under the arrangement, Optimi may sell up to US$100 million of its common shares to Seven Knots over the term of the facility, following the effectiveness of a resale registration statement, which was filed with the US Securities and Exchange Commission on August 17, 2026 and declared effective on August 25, 2026.
The equity facility transaction follows Optim's initial public offering and listing on the Nasdaq Capital Market on May 20, 2026, in which a cross-border team from Norton Rose Fulbright represented Optimi in its US offering of common shares alongside a Canadian offering completed under the listed issuer financing exemption.
"This transaction demonstrates how equity facilities can provide newly public companies with flexible access to capital while maintaining control over the timing, size and pricing of issuances," said Kevin Friedmann, who co-led Norton Rose Fulbright's representation. "The equity line of credit remains an important financing alternative for newly public companies that are not yet Form S-3 or F-3 shelf eligible."
