NOTICE OF PUBLIC HEARING WITH RESPECT TO THE ISSUANCE BY THE OHIO AIR QUALITY DEVELOPMENT AUTHORITY OF ITS NOT TO EXCEED $50,000,000 STATE OF OHIO AIR QUALITY DEVELOPMENT REVENUE REFUNDING BONDS (AMERICAN ELECTRIC POWER COMPANY PROJECT), SERIES 2026


The Ohio Air Quality Development Authority (the "Issuer") will hold a public hearing at 11:00 A.M. on March 18, 2026 at the public meeting room on the ground floor at 175 South Third Street, Columbus, Ohio 43215, pursuant to Section 147(f) of the Internal Revenue Code of 1986, as amended (the "Code"), concerning the issuance by the Issuer of its State of Ohio Air Quality Development Revenue Refunding Bonds (American Electric Power Company Project), Series 2026 in a principal amount not to exceed $50,000,000 (the "Bonds") in one or more series pursuant to a plan for refinancing the Project (defined below), pursuant to Section 13 of Article VIII of the Ohio Constitution and Chapter 3706 of the Ohio Revised Code.


The proceeds of the Bonds will be issued as part of a plan of finance in one or more series, to refund $50,000,000 State of Ohio Air Quality Development Revenue Refunding Bonds (American Electric Power Company Project) Series 2014D (the "Refunded Bonds"). The Refunded Bonds were issued to assist Ohio Power Company, a predecessor entity to American Electric Power Company, Inc. (collectively, the "Company") in refinancing a portion of the costs of the acquisition, construction and installation of certain pollution control facilities (collectively, the "Project") at the following plantslocated generally at the following locations in Ohio: Cardinal Generating Station, 306 County Road 7E (Old State Route 7) along the Ohio River near Brilliant in Jefferson County (the "Cardinal Station") in the principal amount of $25,000,000; and Muskingum River Generating Station, County Road 32 along the Muskingum River approximately three miles northwest of Beverly in Washington County (the "Muskingum Station") in the principal amount of $25,000,000. The Muskingum Station ceased operations and has no remaining useful life. Buckeye Power, Inc. is the owner and principal user of the Cardinal Station.


THE BONDS SHALL NOT REPRESENT OR CONSTITUTE A DEBT OR PLEDGE OF THE FAITH AND CREDIT OR THE TAXING POWER OF THE ISSUER; THE STATE OF OHIO; OR ANY POLITICAL SUBDIVISION OF THE STATE OF OHIO. RATHER, THE BONDS SHALL CONSTITUTE A SPECIAL LIMITED OBLIGATION PAYABLE SOLELY FROM THE PLEDGED REVENUES DESCRIBED IN THE INDENTURE OF TRUST FOR THE BONDS.


Interested persons are invited to attend this public hearing and will be given an opportunity to
express their views on the nature of the Project or the issuance of the Bonds or may submit their comments in writing. Any written submissions should be sent to the Issuer at 175 South 3rd Street, Suite 1050, Columbus, Ohio 43215, Attn: Christina O'Keeffe, Executive Director. Written submissions should be mailed in sufficient time to be received on or before the close of business at 4:30 P.M. local time on March 17, 2026.
