Following Approval of Providence Hospital Sale, District Residents Are Encouraged to Nominate Experienced Community Members to Support Access to Healthcare in Ward 5
Attorney General Brian L. Schwalb announced today that the Office of the Attorney General (OAG) is seeking nominations for trustees to run the DC Healthcare Access Trust, a $5 million fund created to support charitable healthcare in the District with a focus on Ward 5. The Trust is being established as a result of OAG's review of the sale of Providence Hospital, and it is intended to fund a planned urgent care center at the former Providence Hospital site or support other healthcare services. Three trustees will be selected to manage the funds and advance the Trust's charitable purposes.

"We worked closely with community, business, and nonprofit leaders to ensure that the Providence Hospital redevelopment would deliver both housing and health care services to Ward 5," said Attorney General Schwalb. "Now, in order to deliver on that promise and as part of our continuing obligation to preserve the District's charitable assets, we are searching for experienced and driven community members to serve as trustees of the new DC Healthcare Access Trust."

The DC Healthcare Access Trust
The DC Healthcare Access Trust (Trust) is being created as a result of OAG's review of an agreement to sell the Providence Hospital campus in Ward 5. Under the original plan, Providence proposed to sell the campus to developer Vision PH Associates for $1. OAG's independent experts determined that this purchase price did not reflect the true value of the campus, even accounting for the extensive costs of demolition and remediation needed at the site. As a result, OAG concluded that the original deal would not comply with a DC law that requires preservation of the charitable assets of a nonprofit hospital when it is converted to for-profit purposes.
Following OAG's initial review, Providence and Vision PH negotiated a new agreement under which they will establish the Trust, contribute $5 million to it, and transfer millions of dollars' worth of functional medical equipment to the District. The assets of the Trust-starting with the $5 million contribution-are intended to support community healthcare access via the operation of an urgent care center at the former Providence campus. If an urgent care center is not established on that site, the Trust's assets will be used to support other healthcare services in the District. Preference will be given to activities, programs, or projects located in or around the campus.
Trustees' Role
The Trust will be managed by three trustees who will ensure that funds are used to further its charitable healthcare purposes.
