Sun Pharma to Acquire Organon

Fried Frank is advising Morgan Stanley as lead financial advisor to global healthcare company Organon on its agreement to be acquired by Sun Pharmaceutical Industries in an all-cash transaction with an enterprise valuation of $11.75 billion. Sun Pharma is the world's leading specialty generics company with a presence in Innovative Medicines, Generics and Consumer Healthcare products, and is the largest pharmaceutical company in India as well as a leading generic company in the US and Global Emerging Markets. With the transaction, which is set to close in early 2027, Sun Pharma is poised to be among the top 25 global pharmaceutical companies and leading player in Established Brands/Branded Generics. This transaction represents a continuation of Fried Frank's role in major, global transactions. In 2026, the firm has advised the financial advisors of large deals such as McCormick's agreement to combine with Unilever's Foods business for $44.8 billion and Devon Energy's agreement to merge with Coterra Energy for $58 billion.
