Regulatory Commission of Alaska: Notice of Application to Acquire a Controlling Interest (Airespring)
NOTICE OF APPLICATION TO ACQUIRE A CONTROLLING INTEREST
The REGULATORY COMMISSION OF ALASKA gives notice that on May 13, 2026, AireSpring, Inc. (AireSpring), and Spectrum Aggregator, LP (Spectrum Aggregator), filed an application for Spectrum Aggregator to acquire indirect controlling interest in AireSpring. AireSpring is authorized to provide competitive local exchange services in the service area of ACS of Anchorage, LLC; ACS of Fairbanks, LLC; and ACS of Alaska, LLC, and in the Glacier State study area of the ACS of the Northland, LLC. As part of the proposed transaction, AireSpring will convert from a corporation to a limited liability company. Docket U-26-015 was opened to address this matter.
In conjunction with the application, AireSpring and Spectrum Aggregator filed a petition for confidential treatment of the transaction agreements, the financial statements of AireSpring, and the capital commitment letter from Charlesbank Capital Partners, LLC to Spectrum Aggregator filed with the application.
The Commission has not assessed the completeness of the application or ruled on the petition for confidential treatment. The Commission will rule on the petition for confidential treatment and determine whether the application is complete after the close of the comment period.
