ESAB Corporation has signed a definitive agreement to acquire Eddyfi Technologies, a global provider of advanced inspection and monitoring solutions, for approximately $1.45 billion.
The acquisition supports ESAB's strategy to expand beyond fabrication and deliver more complete, end-to-end workflow solutions for customers across critical industrial applications.
Extending Capabilities Across the Workflow
Eddyfi Technologies adds complementary inspection and monitoring capabilities to ESAB's existing fabrication and gas control portfolio. Together, the combined offering will support customers across more stages of the asset lifecycle - from fabrication to inspection and ongoing monitoring.
This expanded scope is designed to help customers improve productivity, enhance quality, and maintain the integrity of critical assets across industries such as aerospace and defense, energy, and infrastructure.
"This acquisition is a pivotal step that strengthens ESAB and sets the course for our next phase of growth. We are thrilled to welcome Eddyfi into the ESAB family," said Shyam P. Kambeyanda, president and chief executive officer of ESAB Corporation.
"With the addition of Eddyfi, ESAB becomes an unrivaled provider of a full workflow solution spanning fabrication, inspection, and monitoring. This complete offering strengthens our position as a partner of choice for global customers, where quality, productivity, and uptime are non-negotiable," Kambeyanda continued.
Expanding into Attractive, High-Growth Areas
Eddyfi Technologies brings established capabilities in non-destructive testing, sensing, and remote monitoring, areas experiencing increased demand as customers prioritize asset reliability, safety, and performance.
The acquisition is expected to expand ESAB's total addressable market by approximately $5 billion and further advance the company's portfolio toward higher-growth, higher-margin segments.
Eddyfi is projected to generate approximately $270 million in revenue and $80 million in adjusted EBITDA in 2026, with additional value expected from operational and commercial synergies over time.
Supporting Customers Across Critical Applications
By combining fabrication with advanced inspection and monitoring technologies, ESAB will be better positioned to deliver more integrated solutions across customer operations.
ESAB plans to apply its ESAB Business Excellence (EBX) system to drive execution and capture synergies while continuing to invest in product development and customer-focused innovation.
Continuity for Customers and Employees
ESAB intends to maintain Eddyfi Technologies' headquarters and operations in Quebec City, ensuring continuity for employees, customers, and partners.
"Joining forces with ESAB marks an exciting new chapter for our team. ESAB brings the scale, resources, and long-term commitment needed to support our people, strengthen our impact with customers, and honor the legacy we have built. This is far from the end of our story; it is the beginning of a new chapter defined by growth, pride, and renewed momentum," said Martin Thériault, chairman and founder of Eddyfi Technologies.
The transaction is expected to close in mid-2026, subject to customary regulatory approvals.
Once complete, the acquisition will further strengthen ESAB's ability to deliver differentiated solutions spanning fabrication, inspection, and monitoring - supporting safer, more efficient, and more reliable operations.
